Acceptance of Terms
These terms are an agreement between you and Hiraki Labs (OPC) Private Limited, operating as Ayut (“we”, “us”). By creating an account, paying for a plan, or using https://ayut.dev or any Ayut software (together, the “Service”), you agree to these terms and to our Privacy Policy, Refund Policy and Service Delivery Policy.
If you do not agree, do not use the Service.
You must be at least 18 and old enough to form a binding contract where you live. If you use the Service for a company or team, you confirm that you can accept these terms on its behalf.
What Ayut Is
Ayut lets a developer run many AI coding agents on one project, with any AI, from any device, while staying in charge. It plans and tracks the work, keeps a record of each change, and asks for your approval at the gates you set.
The agents run on your own machines or servers. You choose which AI they use, what they may touch and what they may do. Ayut is the control layer between you and them. It is not an AI model and it does not write code itself.
The Service is new and parts of it are still early. See “Preview and Planned Features” below for what that means for you.
Your Account
You need an account to use the Service. You agree to:
- Give accurate information and keep it up to date
- Keep your password, tokens and keys safe
- Tell us at [email protected] if you think someone else has used your account
- Stay responsible for everything done through your account, including by agents and devices you connect
One account is for one person. Do not share it.
Your AI Accounts and Providers
Ayut works with AI providers and tools that you choose. You bring your own accounts and keys, and you pay those providers directly.
- Their terms, prices, limits and policies apply to you. You must follow them.
- We do not control them. We are not responsible for what they produce, what they cost, or if they are slow, wrong or down.
- We are not a party to your agreement with any provider.
- Most of the time your agents talk to the provider directly from your machine. A few features, such as Deliberation, send the text you give them from our servers to an AI provider, using a key you added. Our Privacy Policy lists these.
- Keys you add are for your use only. Keep them secret and rotate them if you think they have leaked.
You Decide What Agents Do
AI agents can make mistakes. They can write wrong or insecure code, delete files, run commands and change repositories.
You decide how much freedom each agent gets, including whether it can merge, push or deploy. Approval gates help, but only if you set them up and use them. You are responsible for:
- The settings and permissions you choose
- Every change you approve, allow or leave to run without approval
- Reviewing agent output before you rely on it
- Backups and version control for your own work
- Checking that generated code is licensed in a way you can use. AI output can resemble existing code, including open-source code
- The machines and servers your agents run on, and the security of them
We do not review your code or your agents’ changes for you. Ayut’s records and checks are aids, not a guarantee that code is correct, safe or fit for any purpose.
Your Code and Content
You keep all rights to the code, prompts, files and other material you put into or create with the Service (“Your Content”), including the output your agents produce for you. We do not claim ownership of it. Your rights in agent output may also depend on the terms of the AI provider you used.
You give us a limited, non-exclusive licence to host, store, process and display Your Content only as needed to run the Service for you, keep it secure, and support you. This licence ends when Your Content is deleted from the Service, apart from copies we must keep for legal reasons or hold in backups for a short time. How we handle personal data is described in our Privacy Policy.
You promise that you have the right to use Your Content with the Service and with the AI providers you connect, and that doing so does not break any law, licence or contract.
Acceptable Use
You agree not to use the Service:
- To break any law or regulation
- To build or run malware, to attack or probe systems you do not own or have permission to test, or to steal data
- To infringe anyone’s intellectual property or privacy
- To break an AI provider’s terms, or to share, resell or pool accounts or keys against their rules
- To break export control or sanctions laws
- To harass, threaten, defraud or impersonate anyone
- To send spam or unsolicited promotions
- To get around limits, access controls or security measures, or to interfere with the Service or other users
- To reverse engineer the Service, except where the law allows it
- To resell the Service, or give access to people who have not agreed to these terms, without our written consent
Plans and Payments
Ayut is a paid service. There is no free plan. This section applies when you buy a plan or the 7-day pass, and only while checkout is open on our site.
- Plans. The Pro plan is billed monthly or yearly. The Team plan, per user, is planned and not yet available. The 7-day pass is a one-off payment for seven days of access. It does not renew.
- Prices. Prices are shown on our pricing page, in US dollars unless stated otherwise. When checkout is open, it shows the final amount, including any tax the law requires, before you pay.
- Renewals. Monthly and yearly plans renew automatically at the end of each period, at the then-current price, until you cancel. By subscribing you authorise us and our payment provider to charge your payment method each period.
- Price changes. If we change the price of a plan, we will tell you before the change reaches you. It applies from your next renewal, and you can cancel before then.
- Payment provider. Payments are processed by Dodo Payments, our payment provider and merchant of record. Dodo’s terms apply to the payment at checkout. Your card details go to Dodo, not to us. Receipts, invoices and tax handling may come from Dodo.
- Failed payments. If a payment fails, we may retry it, and we may pause or end paid access until it is paid.
- Refunds. Payments are generally non-refundable, except as set out in our Refund Policy.
Cancellation
You can cancel a monthly or yearly plan at any time, from your account’s billing settings where they are shown, or by emailing [email protected] from the address on your account. Cancelling stops future charges. You keep paid access until the end of the period you have already paid for. We do not refund unused time except as set out in the Refund Policy.
You can also stop using the Service and ask us to delete your account.
Termination
You may stop using the Service at any time.
We may suspend or end your access if you break these terms, if you do not pay, if your use puts the Service or other people at risk, or if the law requires it. Where it is reasonable and safe to do so, we will tell you why first. If we end your account without a breach on your side, we will refund the unused part of what you have prepaid.
After termination your right to use the Service stops. Parts of these terms that are meant to continue, such as ownership, disclaimers, limits on liability and governing law, continue.
Preview and Planned Features
Some capabilities are labelled preview, such as the desktop host and running Ayut on your own server. Some are planned, such as the Team plan and Full auto. For these:
- Preview features are provided as they are, with no uptime or support guarantee. They may be slow, change, break or be withdrawn.
- Planned features are not available yet. Seeing them on our site is not a promise that they will be released or when.
- Full auto is not available yet. If we release it, you will choose whether to turn it on, and you will be responsible for what runs under it.
- Do not rely on a preview feature for work that cannot afford a failure. Keep your own backups.
Our Intellectual Property
The Service, its software, design, name and logos, and everything we create for it are owned by Hiraki Labs (OPC) Private Limited or its licensors. These terms give you a limited, personal, non-transferable right to use the Service while you have an account in good standing. They give you no other rights in it.
If you send us feedback or ideas, we may use them without owing you anything.
Some parts of the Service include open-source software. Those parts are covered by their own licences.
Availability and Changes to the Service
We aim to keep the Service running but we do not promise it will always be available or error-free. We may change, add or remove features. If we remove a paid feature in a way that makes your plan much less useful, you can cancel and ask for a refund of the unused part of the period you have paid.
Disclaimer of Warranties
The Service is provided “as is” and “as available”. To the fullest extent the law allows, we give no warranties of any kind, express or implied. This includes warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
We do not promise that the Service will meet your needs, that it will be secure or uninterrupted, or that AI agents or the code they write will be correct, safe or free of defects.
Limitation of Liability
To the fullest extent the law allows:
- We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business, even if we were told they were possible.
- We are not liable for anything an AI provider, a tool, a machine or a server that you chose or control does or fails to do. This includes changes made, merged or deployed by agents with your approval or under your settings.
- Our total liability to you for all claims about the Service is limited to the amount you paid us in the 12 months before the event that gave rise to the claim.
Some places do not allow these limits, and some rights cannot be excluded by contract. Nothing in these terms limits liability that cannot be limited by law, or any rights you have under mandatory consumer law.
Your Responsibility for Claims
To the extent the law allows, you agree to cover our reasonable losses if a third party makes a claim against us because of Your Content, your breach of these terms, or the way you used agents and AI providers through the Service. We will tell you promptly about the claim and let you help deal with it.
Governing Law
These terms are governed by the laws of India, without regard to its conflict of law rules. If we cannot settle a dispute informally, the courts of India have jurisdiction, unless mandatory law gives you the right to go to court where you live.
Before you start a formal dispute, please email [email protected] and give us a chance to put it right.
General
- If part of these terms is found unenforceable, the rest still applies.
- If we do not enforce a right straight away, we have not given it up.
- You may not transfer your account or these terms to someone else without our consent. We may transfer them to a successor of our business.
- These terms, with the policies they link to, are the whole agreement between you and us about the Service.
- We send notices to the email address on your account. You can reach us at [email protected].
Changes to These Terms
We may update these terms from time to time. We will post the new version on this page. For material changes we will make reasonable efforts to tell you in advance, for example by email or a notice in the app. Changes required by law or for security may start straight away.
If you keep using the Service after a change takes effect, you accept the new terms. If you do not accept them, stop using the Service and cancel your plan. Changes do not alter the price of a period you have already paid for.
